Terms & Conditions — Tech-Partner

These Terms & Conditions (“Terms”) govern your use of www.tech-partner.se and the purchase of products/services from Tech-Partner Inc. (“Tech-Partner,” “we,” “us,” “our”). By accessing our site, requesting a quote, or placing an order, you agree to these Terms.

1) Use of the site

You may use the site for lawful B2B purposes only. Do not misuse the site (e.g., security breaches, scraping, infringement).

We may change, suspend, or discontinue any part of the site at any time.

2) Quotes, orders & contract formation

RFQs & Quotes. Our quotations are invitations to treat, not binding offers, and are valid for [30] days unless stated otherwise. Availability and lead times are estimates.

Orders. A binding contract forms only upon our written order confirmation or shipment notice. We may accept, reject, or condition orders at our discretion (e.g., export compliance, credit review).

Specifications. You are responsible for confirming suitability and specifications. We can assist with cross-references but final selection is your responsibility.

3) Pricing, taxes & payment

Prices are in Euro and/or USD, exclusive of taxes, duties, and shipping unless stated otherwise. You are responsible for all applicable taxes, duties, and fees.

We may correct clerical pricing errors.

4) Delivery, risk & title

Delivery terms are per the order confirmation, typically Incoterms® 2020 [e.g., EXW/FOB/FCA].

Risk of loss passes on delivery to the carrier (or per stated Incoterm). Title passes upon full payment.

Partial shipments may occur. Delivery dates are estimates; we are not liable for delays beyond our reasonable control.

5) Inspection, acceptance & returns

Inspect goods promptly and notify us in writing of nonconformity within [5] business days of delivery; otherwise goods are deemed accepted.

Returns require prior RMA authorization. Items must be unused, in original packaging, with traceability intact.

NCNR: Non-cancellable, non-returnable items (e.g., special orders, factory-allocated, ESD-sensitive) are identified at quote/order and are final sale. Restocking fees may apply.

6) Warranties

We pass through any manufacturer warranties to the extent permitted. Tech-Partner does not itself manufacture products.

Disclaimer: Except as expressly set out in writing, products and services are provided “as is”, without additional warranties, whether express, implied, or statutory (including merchantability, fitness for a particular purpose, non-infringement).

7) Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, punitive, or lost-profit damages.

Our aggregate liability arising out of or related to any order is limited to the amounts paid for the products/services giving rise to the claim in the 12 months preceding the event.

8) Compliance, export & sanctions

You agree to comply with all applicable laws, including export control and sanctions (e.g., Canada, U.S., EU, UK). Products must not be used in prohibited end-uses or shipped to restricted parties or destinations.

You will provide end-use/user certificates if required.

9) Anti-bribery

You will comply with anti-bribery/anti-corruption laws (e.g., CFPOA, FCPA, UK Bribery Act) and maintain adequate controls.

10) Intellectual property & content

Website content (text, logos, graphics) is owned by Tech-Partner or its licensors. You receive a limited, revocable license to access and use the site for B2B purchasing. No reverse engineering, copying, or derivative works without permission.

Trademarks and brand names remain the property of their respective owners.

11) Confidentiality

Non-public information exchanged for quotes, pricing, or supply is confidential and may be used only to evaluate or perform the order.

12) Force majeure

Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., supply chain disruptions, labor disputes, epidemics, acts of government, natural disasters). Time for performance will be extended accordingly.

13) Termination

We may suspend or cancel orders or site access for breach, insolvency, or legal/compliance risk. Your obligations to pay and maintain confidentiality survive.

14) Governing law & disputes

Governing law: [Province of Ontario, Canada], excluding conflict-of-laws rules and the CISG.

Venue: courts located in [Toronto, Ontario] (or agreed arbitration).

Each party waives any objection to jurisdiction and venue in the foregoing.

15) Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version. Continued use of the site or placing orders after changes constitutes acceptance.
